These Terms & Conditions (the “Terms”) govern your access to and use of the websites, applications, and products (collectively, the “Services”) operated by BuilderBias LLC (“BuilderBias,” “we,” “us,” or “our”). By accessing or using any Service, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are
BuilderBias LLC is a United States limited liability company. Our products include HALIO (an offline-first AI chat application), Alignd (an AI portfolio-analysis tool concept), Echō (an AI translation and voice-dubbing concept), and the website at builderbias.com and its subpages.
2. Eligibility
You must be at least 18 years old to use the Services. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3. Your license to use our products
Subject to your ongoing compliance with these Terms and our Acceptable Use Policy, BuilderBias grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:
- install and run our client applications on devices you own or control;
- view the content on our websites for your own personal or internal business use;
- use the Services in accordance with the documentation we provide.
This license terminates automatically if you breach these Terms, or if we discontinue the relevant Service.
4. Restrictions
You may not, and may not permit any third party to:
- copy, republish, mirror, distribute, resell, rent, lease, or sublicense the Services, the product binaries, the source code, or the bundled model weights;
- reverse engineer, decompile, disassemble, or attempt to derive the source code, architecture, or internal components of any Service, except to the limited extent permitted by law notwithstanding this restriction;
- modify, translate, or create derivative works from the Services or our brand;
- remove, alter, or obscure any proprietary notices (including copyright, trademark, or attribution notices) on the Services;
- use our trademarks, logos, wordmarks (including “BuilderBias,” “HALIO,” “Alignd,” “Echō”), or visual identity in any product, service, or promotional material without our prior written consent;
- use the Services to develop, train, or benchmark a competing product;
- use the Services in violation of our Acceptable Use Policy or any applicable law.
5. Intellectual property
All right, title, and interest in and to the Services — including the source code, object code, design, text, graphics, user interfaces, product names, and brand identity — are and remain the exclusive property of BuilderBias and its licensors. Nothing in these Terms transfers any ownership to you.
Feedback you send us (feature requests, bug reports, ideas) is non-confidential, and you grant BuilderBias a perpetual, worldwide, royalty-free license to use it to improve the Services. We will not publicly attribute feedback to you without your permission.
6. Third-party components and model weights
Our products incorporate or depend on third-party open-source software and pre-trained machine learning models, including (without limitation) Ollama, llama.cpp, React, Expo, Tauri, and model weights distributed by the Meta Llama, Mistral AI, Microsoft Phi, and Qwen teams via Hugging Face. Your use of those components is additionally governed by their respective licenses, which are referenced in our repositories and product documentation.
When you run HALIO for the first time, the application downloads model weights directly from the distributor (e.g., Hugging Face). Those downloads are subject to the distributor's terms, not ours.
7. AI output and your responsibility
Our AI products generate output using statistical language models. Output may be inaccurate, incomplete, biased, offensive, or otherwise unsuitable for your purpose. We make no representation that any output is correct, reliable, or fit for any specific use.
The Services are not a substitute for professional advice. Do not rely on HALIO or any BuilderBias product for medical, legal, financial, safety, regulatory, or other professional decisions without independent verification from a qualified professional. You are solely responsible for decisions you make based on output, and for any consequences of acting on that output.
8. No warranty
THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. BUILDERBIAS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- BUILDERBIAS AND ITS AFFILIATES, MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (US $100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless BuilderBias and its affiliates, members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or the Acceptable Use Policy; (c) your violation of any rights of a third party, including intellectual property rights; or (d) any action taken by you based on output from the Services.
11. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you in-product (for example, by prompting you to accept the new terms on next launch of HALIO). Continued use of the Services after a change means you accept the revised Terms.
12. Termination
These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have breached these Terms or the Acceptable Use Policy, or if continuing to provide the Services to you would expose us to legal liability. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. You and BuilderBias agree that any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.
Nothing in this Section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.
14. Miscellaneous
These Terms, together with our Privacy Policy and Acceptable Use Policy, are the entire agreement between you and BuilderBias about the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign or transfer your rights under these Terms without our prior written consent; BuilderBias may assign its rights to any affiliate or successor.
